1. Application and Entire Agreement
1.1 These Terms and Conditions apply to all services described in our quotation (“Services”) provided by B&F Construction Ltd (“we”, “us”, “Service Provider”) to the customer (“you”, “Customer”).
1.2 You are deemed to accept these Terms and Conditions when you accept our quotation or from the date we begin providing any Services, whichever occurs first.
1.3 These Terms and Conditions, together with our quotation, form the entire agreement (“Contract”) between us.
1.4 You acknowledge that you have not relied on any statement, promise, or representation that is not expressly set out in the Contract. Any terms you attempt to impose or incorporate are excluded.
2. Interpretation
2.1 “Business Day” means any day other than a Saturday, Sunday, or bank holiday in England and Wales.
2.2 Headings are for convenience only and do not affect interpretation.
2.3 Words in the singular include the plural and vice versa.
3. Services
3.1 We warrant that we will perform the Services with reasonable care, skill, and diligence, and in accordance with the quotation and any agreed specifications.
3.2 We may make changes to the Services where required to comply with applicable law, regulations, or safety requirements. We will notify you of any such changes.
3.3 We will use reasonable endeavours to complete the Services within the agreed timeframe; however, time is not of the essence unless expressly stated otherwise.
3.4 These Terms and Conditions apply to the supply of goods and materials as well as Services unless stated otherwise.
4. Your Obligations
4.1 You must obtain all necessary permissions, consents, licences, approvals, and access required for us to carry out the Services.
4.2 You must provide accurate information, safe access to the property, and any materials or details we reasonably require.
4.3 If you fail to comply with this section, we may suspend or terminate the Services.
4.4 We are not liable for delays or failures caused by your failure to meet your obligations.
5. Fees, Deposits & Additional Costs
5.1 The fees (“Fees”) for the Services are set out in the quotation and are based on a time and materials basis unless otherwise stated.
5.2 In addition to the Fees, we may recover:
reasonable travel, accommodation, and subsistence expenses;
costs of third‑party services required for the work;
costs of materials required for the Services.
5.3 Any additional work not included in the quotation will be charged at our current hourly rate or as otherwise agreed.
5.4 Fees are inclusive of VAT unless stated otherwise.
Deposits
5.5 Any Service with a value over £1,000 + VAT requires a 50% deposit payable before the agreed start date.
5.6 Returning clients are eligible for a reduced 30% deposit for Services over £1,000 + VAT.
5.7 Any Services with a value over £10,000 + VAT will require stage payments, which will be agreed and confirmed in writing prior to commencement.
5.8 All deposits are non‑refundable, except where we fail to provide the Services due to our own fault.
5.9 If the required deposit is not paid, we may withhold the provision of Services or terminate the Contract.
6. Cancellation & Amendments
6.1 We may withdraw or amend a quotation if it has not been accepted within 7 days of issue.
6.2 Either party may cancel an order before the quotation is accepted.
6.3 If you wish to amend the Services, you must notify us in writing. Additional costs will be added to the Fees.
6.4 If circumstances beyond our control require changes to the Services, we will notify you and keep changes to a minimum.
7. Payment
7.1 We will invoice you either upon completion of the Services or in accordance with the payment schedule in the quotation.
7.2 Invoices must be paid within 5 days of the invoice date unless otherwise agreed in writing.
7.3 Time for payment is of the essence.
7.4 Late payments will incur interest at 4% per annum above the Bank of England base rate until paid in full.
7.5 Payments must be made in full without deduction, withholding, or set‑off.
7.6 If payment is not made, we may suspend Services and cancel future work.
7.7 All payments must be made in GBP (£) unless agreed otherwise.
Non‑Payment & Debt Recovery
7.8 If payment is not received by the due date, B&F Construction Ltd will issue one reminder invoice, allowing a further 5 days for payment.
7.9 Additional reminders may be issued; however, if no settlement is made after the final reminder, the outstanding balance will be passed to Commercial & Domestic Investigations for debt recovery.
7.10 Once the debt has been transferred to Commercial & Domestic Investigations, additional charges from the debt recovery company will apply, including but not limited to:
recovery fees,
administrative charges,
credit checks carried out as part of the recovery process.
7.11 All additional charges applied by the debt recovery company become payable by you in full.
8. Sub‑Contracting & Assignment
8.1 We may assign, transfer, or subcontract any part of our rights or obligations under the Contract.
8.2 You may not assign or transfer your rights without our prior written consent.
9. Termination
We may terminate the Contract immediately if you:
a) commit a material breach of these Terms;
b) fail to pay any amount due;
c) become insolvent or subject to bankruptcy proceedings;
d) enter into any arrangement with creditors;
e) have an administrator, receiver, or liquidator appointed.
10. Intellectual Property
10.1 All intellectual property rights in any materials, documents, or goods supplied by us remain our property.
10.2 You may not copy, reproduce, or use such materials without our written consent.
11. Liability & Indemnity
11.1 Our total liability under the Contract is limited to the total Fees paid by you.
11.2 We are not liable for:
indirect or consequential loss;
loss of profits, business, data, or reputation;
delays caused by events outside our control;
losses arising from your failure to comply with your obligations;
suitability of the Services for your intended purpose unless expressly agreed.
11.3 You must indemnify us for any damage caused to our equipment or third‑party equipment by you or your representatives.
11.4 Nothing limits our liability for death or personal injury caused by negligence, fraud, or any matter that cannot legally be excluded.
12. Data Protection
12.1 We may process personal data as necessary to provide the Services.
12.2 For the purposes of data protection law, we act as the Data Controller for any personal data you provide.
12.3 We will only process personal data as required to deliver the Services and in accordance with our Data Protection Policy.
12.4 We will not share personal data with third parties except where necessary to perform the Services or where required by law.
12.5 We will maintain appropriate technical and organisational measures to protect personal data.

13. Circumstances Beyond Our Control
13.1 Neither party is liable for delays or failures caused by events beyond reasonable control, including but not limited to extreme weather, fire, flood, civil unrest, industrial action, terrorism, war, or government restrictions.
13.2 If such delay continues for more than 90 days, either party may terminate the Contract.
14. Communications
14.1 All notices must be in writing and signed by the issuing party.
14.2 Notices are deemed delivered:
immediately if delivered by courier during business hours;
when sent if email transmission is confirmed;
after 5 business days if sent by standard mail;
after 10 business days if sent by airmail.
14.3 Notices must be sent to the most recent address or email provided.
15. No Waiver
15.1 Failure to enforce any right does not constitute a waiver of that right.
16. Severance
16.1 If any clause is found unlawful or unenforceable, the remaining clauses remain valid.
17. Governing Law
17.1 This Contract is governed by the laws of England and Wales.
17.2 All disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
